By "02INNOVA24H" means 02INNOVA24H SLU, whose registered office is at Calle Manuel Arellano, 42 - piso 5-B Sevilla, Sevilla CP 41010, Spain. S.L.U. 02INNOVA24H is registered in the Register of Sevilla, Tomo 5058, folio 190, page number SE-82 237, with tax ID number A-48,010,615. Unless you state otherwise and 02INNOVA24H written agreement with 02INNOVA24H always include, at a minimum, the terms contained in this document. The agreement between you and 02INNOVA24H also include the terms of any legal notices applicable to the Services. Before making use of the Services, you must accept these conditions. Otherwise, you can not use them. To accept the Terms, you have the following options: a. click to accept these Conditions, where 02INNOVA24H offer this option in the user interface of the service in question, or b. using the services itself. In this case, assume 02INNOVA24H accept the Conditions when you start to use the Services. Your use of the software constitute your consent to the possible transmission of certain computer information during activation, validation and internet based services. The English translation which 02INNOVA24H provides you of these Terms is for informational purposes only. The Spanish version will prevail and govern their relationship with 02INNOVA24H. In the event that there is any inconsistency between the Spanish version of the Terms and the translated version, Spanish version shall prevail. The license terms are an agreement between 02INNOVA24H and you. Please read them. They apply to the services associated with these license terms, including the media on which you received it, if necessary. If you comply with these license terms, have the following rights for each license you acquire. 1. INTRODUCTION. These license terms permit installation and use of a copy of the software on a device, along with other rights that are described below. 2. INSTALLATION AND USE RIGHTS. Before using the software under a license, you must assign the license to a device. That device is the "licensed device." A hardware partition or blade is considered a separate device. a. Licensed Device. In the licensed device may install and use one copy of software. b. Separation of components. The license of software components is given uniformly. It prohibits the separation of the components and installation on multiple devices. 3. LICENSE TEST AND CONVERSION. The complete software or any portion thereof may have a trial license. The rights to use the trial software is limited to the duration of the test. The trial software and length of the probationary period are configured during the activation process. You have the option to convert the test rights of subscription or perpetual rights. The conversion options will be presented to the trial period expires. On termination of a trial period without having made the conversion, will cease to operate all the features of software. The information was created with the trial software is still available and may be used by any other software. 4. MANDATORY ACTIVATION. Activation associates the use of software to a specific device. During activation, the software will send information about the software and device to 02INNOVA24H or require that you send it manually by following instructions. This information can include the version, the license version, language and the software product ID, the IP address of the device and the information derived from the hardware configuration. THE USE OF THE SOFTWARE IS CONSIDERED PART OF YOUR CONSENT TO THE TRANSMISSION OF THIS INFORMATION. The expiration of the time recommended for activation, software use rights will be limited until the software is activated. And is designed to prevent unlicensed use. You can activate the software by Internet or by other means, although in such cases charges may apply for these services. Some changes you can make in your computer components or software may need to reactivate the software. REMEMBER THE SOFTWARE YOU NEED TO ACTIVATE IT WHILE YOU DO NOT DO IT. 5. VALIDATION. a. If the software lacks a properly licensed, the operation may be affected. For example, you need to reactivate the software, or receive alerts to get a copy of the software with appropriate license or failing to obtain certain updates, higher versions or services from 02INNOVA24H. b. The software updates or upgrades may only obtain the 02INNOVA24H or authorized sources. For more information on obtaining updates from authorized sources, see www.needian.com. 6. INTERNET-BASED SERVICES. 02INNOVA24H software provided with the Internet-based services. Unless it says otherwise in the materials accompanying a service, you can change or cancel them at any time. a. Consent for Internet-based services. The software features described below connect to the Internet through computer systems 02INNOVA24H or service providers. In some cases, you will not receive a separate notice when they connect. Unless you otherwise, you can choose not to use these functions. THE USE OF THESE FEATURES, IS CONSIDERED PART OF YOUR CONSENT TO THE TRANSMISSION OF THIS INFORMATION. 02INNOVA24H not use this information to identify or contact you. b. Misuse of Internet-based services. You may not use these services in a way that can impair or impede its use by other users. You may not use the services to try to gain unauthorized access to any service, data, account or network, whatever the methods. 7. CONTENTS OF THE SERVICES. Agree that you are solely responsible (and 02INNOVA24H disclaims all liability to you or any third party) for all Content that you receive, create, transfer or display while using the Services, as well as the consequences of their actions, including any loss or damage that may lead to 02INNOVA24H. 8. INTELLECTUAL PROPERTY. 02INNOVA24H acknowledges and agrees that it obtains no right, title or interest in you or its licensors in accordance with the provisions of these Terms or relating to any content you receive, give, publish, transfer or display on or through the Services, including intellectual property rights act in the Content, whether such rights are registered or not and the country in which they exist. Unless otherwise agreed in writing with 02INNOVA24H, is committed to protecting and enforcing those rights and 02INNOVA24H exempt from the obligation to do so on their behalf. You agree not to remove, obscure or alter the notices of proprietary rights, including copyright notices and trademarks, both those on the Services such as those provided as part of them. 9. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights to use the software. 02INNOVA24H, and if applicable your manufacturer, reserve all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this contract. In doing so, must meet the technical limitations of software that only allow use of certain types. You may not: • circumvent the technical limitations of software, • reverse engineer, decompile or disassemble the software, except and only to the extent it is expressly permitted by applicable law notwithstanding this limitation • make more copies of the software than specified in this contract or permitted by current legislation despite this limitation; • publish the software for others to copy; • use the software in any manner that is contrary to law; • rent, lease or lend the software; or • use the software to hosting services business software. 10. TERMINATION OF THIS AGREEMENT. The conditions remain in force until you or decide 02INNOVA24H resolve, as prescribed below. 02INNOVA24H may terminate the legal agreement with you at any time if: a. Has breached any provision of the Terms or acted in a way that shows he has no intention of complying with such regulations or can not comply. b. This is what the law requires 02INNOVA24H, for example, if the provision of the Services is or becomes illegal. c. The partner that offered the Services 02INNOVA24H has suspended its relationship with 02INNOVA24H or no longer provide the Services. d. 02INNOVA24H is in the process to terminate the provision of the Services to users in the country of residence of the user or it uses the Service. e. The provision of the Services by 02INNOVA24H is no longer commercially viable from the point of view 02INNOVA24H. 11. BACKUP. You may make one backup copy of the Service if it is software. You may only use it to reinstall the software. 12. NOT FOR RESALE SOFTWARE. You may not sell the software, unless stipulated otherwise in a separate agreement between you and 02INNOVA24H. 13. UPGRADE OR CONVERSION. To upgrade or convert the software first must have licensed software that is suitable for renovation or conversion. With the upgrade or conversion, this contract will replace the software contract from an update or convert. After the upgrade or conversion, you can not use the previous version of software that was upgraded or converted. 14. EXPORT RESTRICTIONS ON. The software is subject to the laws and regulations regarding the export of Spain. You must comply with all laws and regulations on domestic and international export that apply to software. These laws include restrictions on destinations, end users and end use. 15. SUPPORT SERVICES. 02INNOVA24H provides support services for the software. For more information, visit www.needian.com 16. PRIVACY POLICY. For information about data protection practices that apply 02INNOVA24H, see our Privacy Policy page www.needian.com / legal. This policy explains 02INNOVA24H's treatment of your personal information and how to protect your privacy when you use the Services. You agree to use your data in accordance with the privacy policies 02INNOVA24H. 17. ENTIRE AGREEMENT. This contract (including warranty below), any addition or amendment included with the software and the terms for supplements, updates, Internet-based services and support services you use, constitute the entire agreement regarding the software and support services. 18. GOVERNING LAW. The Terms of Service and the relationship between you and 02INNOVA24H arising under these are governed by the laws of Spain, not seen your policies regarding conflict of laws. You and 02INNOVA24H agree to submit to the exclusive jurisdiction of the courts of Seville (Spain) to resolve any legal matter arising from these conditions. Without prejudice to agree that 02INNOVA24H may continue to seek injunctive remedies (or an equivalent type of legal action) in any jurisdiction. 19. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the law of your state or country. Also, you may have rights against the dealer from the software. This agreement does not change the rights you have under the law of your state or country, if such legislation prohibiting it. 20. LIMITATION AND EXCLUSION OF LIABILITY. YOU MAY OBTAIN FROM 02INNOVA24H AND ITS SUPPLIERS ONLY THE COMPENSATION OF THE DIRECT DAMAGES YOU ACTUALLY WILL BE, AND IT TO THE MAXIMUM LIMIT OF THE AMOUNT YOU PAID FOR THE SOFTWARE. YOU CAN NOT GET COMPENSATION FOR ANY OTHER DAMAGES, INCLUDING ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL, NOR FOR PROFITS. This limitation applies to • any matter relating to the software, services, content (including code) who are in third-party Internet sites, or third party programs as well as • claims for breach of contract, breach of warranty or condition, strict liability, negligence or other tort to the extent permitted by law. It also applies even if • The repair, replacement or refund the price of software does not fully compensate for the losses you incur, or if • 02INNOVA24H knew or should have known the possibility of such damage. Some states do not allow the exclusion or limitation of liability for consequential or incidental damages, so it is possible that the above limitations or exclusions may not apply to you. It also may be situations in which they can not apply to you because your country does not allow the exclusion or limitation of consequential, incidental or otherwise. ************************************************** ********************************* LIMITED WARRANTY A. LIMITED WARRANTY. If you follow the instructions, the software will run substantially as described in 02INNOVA24H materials received with the software or within it. B. DURATION OF THE WARRANTY, WARRANTY RECIPIENT; SCOPE OF IMPLIED WARRANTIES. LIMITED WARRANTY COVERS THE SOFTWARE UNTIL ONE YEAR AFTER ITS ACQUISITION. DURING THAT YEAR IF YOU RECEIVE SUPPLEMENTS, UPDATES OR REPLACE THE SOFTWARE, THEY WILL BE COVERED BY THE REST OF THE WARRANTY OR, AT LEAST, FOR 30 DAYS. TO THE EXTENT PERMITTED IN LAW, ALL IMPLIED WARRANTIES AND CONDITIONS WILL ONLY EFFECTIVE FOR THE DURATION OF THE LIMITED WARRANTY. However, some states or countries do not allow limitations on how long an implied warranty lasts, so these limitations may not apply to you. You may also not apply to you because some countries do not allow limitations on how long an implied warranty or condition. C. EXCLUSIONS FROM WARRANTY. This warranty does not cover problems caused by actions (or inaction) of you, actions of third parties or events beyond the reasonable control of 02INNOVA24H. D. LEGAL RESOURCES TO A BREACH OF THE WARRANTY. 02INNOVA24H repair or replace the SOFTWARE FREE OF CHARGE TO YOU. SI 02INNOVA24H unable to repair or replacement, we return the amount shown on the receipt OF SOFTWARE. ALSO REPAIR OR REPLACE 02INNOVA24H SUPPLEMENTS, UPDATES OR REPLACE THE SOFTWARE FREE OF CHARGE TO YOU. IF YOU CAN NOT 02INNOVA24H repair or replace, REFUND THE AMOUNT YOU PAID FOR THEM, TO YOU. FOR A REFUND MUST UNINSTALL THE SOFTWARE AND RETURN A 02INNOVA24H ANY PHYSICAL AND OTHER ASSOCIATED MATERIALS, ALONG WITH PROOF OF PURCHASE. THE ABOVE ARE THE ONLY LEGAL REMEDIES YOU provide in the event of default LIMITED WARRANTY. E. CONSUMER RIGHTS NOT AFFECTED. SO THE LAWS OF YOUR STATE OR COUNTRY GIVES ADDITIONAL CONSUMER RIGHTS THIS AGREEMENT CAN NOT CHANGE. F. WARRANTY PROCEDURES. To enforce the guarantee, you must provide proof of purchase. G. EXCLUSION OF OTHER WARRANTIES. LIMITED WARRANTY CONSTITUTES THE ONLY WARRANTY DIRECT 02INNOVA24H. 02INNOVA24H MAKES NO OTHER WARRANTIES EXPRESS OR CONDITION. Insofar as permitted THE LAWS OF YOUR STATE OR COUNTRY, 02INNOVA24H EXCLUDES THE IMPLIED WARRANTIES OF FITNESS FOR A GENERAL OR PARTICULAR PURPOSE AND NO INFRINGEMENT. If the law of your state gives you any implied warranties or conditions despite the provisions of this clause, resources you have are those provided in the preceding clause "Legal Resources before a breach of warranty" to the extent that the law of your state or country so permits. H. LIMITATION AND EXCLUSION OF LIABILITY FOR A BREACH OF THE WARRANTY. THE FOREGOING CLAUSE ON "LIMITATION AND EXCLUSION OF LIABILITY" shall apply to ANY BREACH OF THIS LIMITED WARRANTY. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, BUT YOU CAN ALSO have other rights. Those rights may vary depending on the country.
